AGM Special Resolution

Notice is hereby given that the Annual General Meeting of the Shuswap Theatre Society will be held September 24, 2019 at 7:00 pm at the theatre.

Further notice is given that the following Special Resolution will be considered at the AGM:

Special Resolution to Change Bylaws Re: Quorum and Terms of Directors

Moved that the Bylaws of the Shuswap Theatre Society be amended as follows:

1.    Article 2, MEMBERSHIP MEETINGS, subheading “Quorum”, paragraph 1 be amended to read “A meeting’s quorum is the lesser of ten voting members or 10% of voting members.”

2.    Article 3, DIRECTORS, Subheading “Election of Directors”, paragraph 2 be amended to read:

Directors will hold office as follows:

a)    The normal term of office will be two years.

b)    The terms of individual directors will be adjusted periodically so that approximately half of the directors terms will expire each year. Thus some directors may serve a one year term.

c)    The term of office for a director will commence at the start of the first monthly Directors’ meeting following the AGM in which the director was elected, and will expire at the commencement of the first Directors’ meeting following the AGM the following year, or two years hence, as the case may be.

d)    Directors may stand for re-election upon the expiry of their term.
